2. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

3. Definitions

“Seller” means Harris Gauges Limited. “Buyer” means any individual, company, or organisation purchasing goods. “Goods” means any products supplied by the Seller.

4. Orders & Acceptance

• All orders are subject to written acceptance by the Seller.
• These terms apply to all sales unless agreed otherwise in writing.
• Goods not in stock may be placed on back order unless otherwise instructed.
• Returns are accepted at the Seller’s discretion.
• Incorrectly ordered goods:
  • Unopened: upto 35% handling charge (within 10 days)
  • Opened: upto 75% handling charge (within 10 days, subject to condition)
• Damaged or engraved goods are non-returnable.
• Repair assessments may incur a charge.
• Calibration services:
  • 24-hour: list price +100%
  • 5-day: list price +50%
  • Standard (2–4 weeks): standard pricing
• Order cancellations may incur a charge of 50%. unless specified in a quote or custom-made gauge.

5. Specifications

• All specifications and pricing are approximate unless confirmed in writing.
• We reserve the right to modify or discontinue products without notice.

6. Suitability

• The Buyer is responsible for ensuring goods are suitable for their intended purpose.

7. Pricing

• Prices may change due to supplier increases or currency fluctuations.
• Prices exclude delivery unless stated otherwise.
• Minimum order value: £50 (net).

8. Payment

• Payment terms are 30 days from invoice unless otherwise agreed.
• We reserve the right to require payment in advance.
• Late payments may incur interest at 4% above the Bank of England base rate.
• We may suspend deliveries or cancel orders where payment is overdue.

9. Delivery

• Delivery dates are estimates only and not guaranteed.
• We are not liable for delays beyond our control.
• Delivery charges are payable by the Buyer unless agreed otherwise.

10. Title and Risk

• Ownership of goods remains with the Seller until full payment has been received.
• Risk passes to the Buyer upon delivery.

11. Warranty

• Goods are warranted for 12 months against defects in materials and workmanship.
• Warranty excludes misuse, improper handling, or unauthorised modification.

12. Limitation of Liability

To the fullest extent permitted by law, Harris Gauges Limited shall not be liable for any indirect or consequential loss, including loss of profit, data, or business.

13. Force Majeure

We shall not be liable for failure to perform obligations due to events beyond our reasonable control.

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under UK law.
